1. Acceptance of Terms

SPRUSE HOME Inc. ("SPRUSE HOME," "we," "us," or "our") operates the website located at www.sprusehome.com (the "Site"). These Terms and Conditions of Use (the "Terms"), together with any documents expressly incorporated by reference, govern your access to and use of the Site, including all content, functionality, products, and services offered through it.

THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE READ THEM CAREFULLY.

By accessing or using the Site, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use of the Site immediately. Acceptance of these Terms also constitutes acceptance of our Privacy Policy and any applicable Additional Terms, each incorporated herein by reference.

4. Additional Terms

Certain products, services, or Site features may be subject to supplemental terms and conditions ("Additional Terms"), including but not limited to ordering and shipping policies, return and claims procedures, and account management programs. Where Additional Terms conflict with these Terms, the Additional Terms shall control.

5. Eligibility

The Site and its purchasing functionality are available only to authorized representatives of organizations who are at least 18 years of age. SPRUSE HOME reserves the right to verify eligibility and to revoke access at any time.

6. Fraud Prevention

SPRUSE HOME screens transactions for fraud and unauthorized activity. We reserve the right to refuse, cancel, or hold any order we reasonably suspect involves fraudulent, unauthorized, or illegal activity. We may contact you to verify order details prior to fulfillment. Accounts or shipping addresses associated with suspected fraud may be suspended or blocked without prior notice.

7. Purchases and Transactions

When placing an order through the Site ("Transaction"), you represent and warrant that:

You are authorized to bind your organization to the purchase
All payment and billing information provided is accurate and complete
The products ordered will be used for lawful purposes only

All product descriptions, pricing, specifications, and availability are subject to change without notice. SPRUSE HOME reserves the right to limit quantities, discontinue products, cancel orders, or modify promotions at any time.

By submitting an order, you enter into a binding agreement with SPRUSE HOME and accept responsibility for all associated charges, including applicable shipping, handling, and taxes.

8. Subscription Services

SPRUSE HOME may offer subscription-based purchasing arrangements. The following terms apply to each subscription type:

Month-to-Month Subscriptions: Automatically renew each month at the then-current rate. You may cancel at any time by logging into your account or contacting Support@sprusehome.com. Cancellation takes effect at the end of the current billing cycle.

Prepaid Subscriptions (3, 6, or 12 months): Charged upfront for the selected term and automatically renewed at the end of each term at the then-current rate. To cancel renewal, log into your account or contact Support@sprusehome.com at any time after the current term begins.

Subscriptions with Commitment (3, 6, or 12 months): Billed monthly with a term commitment. Automatically renewed for successive terms at the then-current rate. Cancellation procedures mirror those of Month-to-Month Subscriptions and must be completed prior to the renewal date.

SPRUSE HOME reserves the right to modify subscription pricing at any time. Any changes will be communicated in advance and will apply prospectively.

9. Product Information and Availability

We make reasonable efforts to ensure that product descriptions, specifications, and pricing on the Site are accurate. However, errors may occur. SPRUSE HOME reserves the right to correct errors without liability and does not guarantee the availability of any listed product or service.

10. Proprietary Rights

All content on the Site — including text, images, graphics, trademarks, logos, software, and other materials — is owned by or licensed to SPRUSE HOME and protected by applicable U.S. and international intellectual property laws. No content may be reproduced, distributed, modified, or used for commercial purposes without prior written consent.

"SPRUSE HOME" and the SPRUSE HOME logo are registered trademarks of SPRUSE HOME Inc. All other trademarks are the property of their respective owners.

SPRUSE HOME DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

13. Taxes

Applicable state and local sales taxes will be calculated based on the shipping address and rates in effect at the time of purchase, and will be itemized in your order total.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRUSE HOME SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITY — ARISING FROM OR RELATED TO YOUR USE OF THE SITE, REGARDLESS OF THE THEORY OF LIABILITY.

SPRUSE HOME'S TOTAL AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SPRUSE HOME IN CONNECTION WITH THE EVENT GIVING RISE TO THE CLAIM.

16. Risk of Loss

Title and risk of loss for all purchased products pass to the buyer upon delivery to the carrier. SPRUSE HOME is not liable for loss, damage, or delay occurring after carrier pickup.

17. Copyright Infringement — DMCA

SPRUSE HOME respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). To report a claim of copyright infringement, submit written notice containing all information required under 17 U.S.C. § 512(c)(3) to:

18. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

19. Dispute Resolution

Any dispute arising from your use of the Site or your relationship with SPRUSE HOME ("Claim") shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in New York, New York, in accordance with AAA rules then in effect. The arbitrator shall apply New York law consistent with the Federal Arbitration Act.

YOU WAIVE ANY RIGHT TO A JURY TRIAL AND MAY NOT BRING CLAIMS AS PART OF A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

All Claims must be filed within one (1) year of the date the Claim arises. Claims properly filed in small claims court are exempt from this arbitration requirement unless transferred out of that court's jurisdiction.

20. Modifications

SPRUSE HOME reserves the right to update these Terms at any time. Material changes will be noted by an updated "Last Updated" date and communicated to users where practicable. Continued use of the Site following any update constitutes acceptance of the revised Terms.
